Uniquecapture Ltd – Production Booking Agreement

These Production Booking Terms & Conditions apply to all photography, videography, and multimedia production services provided by Uniquecapture Ltd (“the Company”) to its clients (“the Client”). By confirming a booking in writing or by email, the Client agrees to these terms in full.

Booking Confirmation & Fee

A 25% booking fee (the “Booking Fee”) is required to secure the shoot date and production resources.

The Booking Fee is non-refundable but fully deductible from the total project cost if the production proceeds as planned.

The Booking Fee invoice is due upon confirmation of the project and must be paid to secure the agreed date. No production date is confirmed until this payment (or a valid Purchase Order from an approved account client) has been received.

Postponements

If the Client postpones the shoot but re-books and completes the production within 30 calendar days of the original scheduled date, the original Booking Fee will be credited against the final invoice.

If the Client fails to re-book and complete the production within 30 calendar days of the original date, the Booking Fee will be retained by the Company and will not be credited or deducted from any future invoice.

Cancellations

If the Client cancels the production:

• Less than 7 working days before the scheduled shoot date, 50% of the total quoted cost is payable.

• Less than 4 working days before the scheduled shoot date, 100% of the total quoted cost is payable.

• All committed third-party costs (e.g. equipment hire, location hire, freelance crew, travel, or specialist services) will also be charged in full, regardless of notice period.

Payment Terms

The remaining 75% balance will be invoiced after the shoot shoot and before delivery of final media.

Standard payment terms are due on the date of invoice and the balance must be paid in full before any content can be released.

Late payments may incur additional charges and may delay the release of final content.

Liability & Rights

The Company will take all reasonable care in the performance of its services but shall not be liable for any indirect or consequential loss arising from delay, cancellation, or failure of delivery beyond its control.

Usage rights of all media remain with Uniquecapture Ltd until full payment is received

Client Responsibilities & Attendance

The Client (or an authorised representative) must attend the shoot or provide clear written direction in advance. In the absence of on-set direction, Uniquecapture Ltd will interpret the brief using professional judgment, and this will be deemed satisfactory fulfilment of the assignment.

Delivery & Feedback

Unless otherwise agreed, Uniquecapture Ltd will deliver media digitally via secure download link. Clients are encouraged to provide consolidated feedback to ensure efficient project delivery. Additional editing or changes requested outside the agreed scope may incur charges at the Company’s standard rate.

Approval & Sign-Off

Once content has been approved or used by the Client, the project will be deemed complete. Any further amendments, re-edits, or additional versions requested thereafter will be treated as new work and charged accordingly.

Indemnity

The Client warrants that all materials supplied to Uniquecapture Ltd—including logos, copy, music, and products—are owned or properly licensed by the Client. The Client agrees to indemnify and hold Uniquecapture Ltd harmless against any claims, damages, or costs arising from use of such materials.

Force Majeure

Uniquecapture Ltd shall not be liable for failure to complete work due to causes beyond its reasonable control, including but not limited to illness, fire, flood, equipment failure, or adverse weather. In such cases, the shoot will be rescheduled at the earliest available date.

Portfolio Use & Promotion

Unless otherwise agreed in writing, Uniquecapture Ltd reserves the right to use any work produced for self-promotion, including but not limited to its website, showreels, printed materials, and social media channels.

Confidentiality

Both parties agree to keep confidential any commercially sensitive information obtained during the course of the project, except where disclosure is required by law or agreed in writing.

File Retention

Uniquecapture Ltd will retain master files for up to 1 year as part of our internal backup policy. While we take reasonable care to maintain these backups, if any data loss occurs due to system failure or circumstances beyond our control, Uniquecapture Ltd will not be liable. It remains the Client’s responsibility to download, store, and securely back up all deliverables once received.

Usage Rights

All assets remain the full property of Uniquecapture Ltd, but we grant a global, unlimited usage licence to the Client once the invoice has been paid in full. Any usage of assets prior to full payment constitutes a breach of licence and may incur additional charges.
